1. Description of Services

Steps.io provides a professional services enablement platform designed for accountants, attorneys, and consultants. Our services include, but are not limited to:

• Business Licensing Guidance: Jurisdiction-specific identification and compliance workflows.

• Structuring & Entity Guidance: Tools for entity type comparisons and state-specific formation considerations.

• Insurance Support: Identification of industry-specific insurance requirements.

• A la Carte Services: Optional document filing services, including but not limited to business license filings, EIN applications, and the creation of operating agreements.

2. User Eligibility

Professional Use: The Service is intended for use by professionals (e.g., accountants, attorneys, and consultants) and their clients.

Authority: If you are using the Service on behalf of a business entity, you represent and warrant that you have the legal authority to bind that entity to these Terms.

Age Requirement: You must be at least 18 years of age to create an account or use the Services.

3. Payment Terms & ACH Authorization

Free Access: Access to the core Steps.io system, including business license mapping and legal/tax structuring mapping, is currently provided at no cost.

A la Carte Services: Specific filing services (e.g., EIN, Operating Agreements) are subject to individual service fees.

Payment Method: All fees for a la carte services are processed via Automated Clearing House (ACH).

Failed Transactions: If an ACH transaction is declined or fails for any reason, Business Mapping Technologies Inc reserves the right to withhold the requested service until payment is successfully processed.

4. Service Level & Availability (SLA)

Uptime Goal: The Service is designed to be available 24/7. We intend to achieve at least 99.5% uptime per calendar month.

Exclusions: This uptime goal excludes scheduled maintenance, emergency maintenance, and events beyond our reasonable control (Force Majeure).

No Guarantee: This section represents a service goal; no specific uptime guarantee or credit is provided unless expressly agreed upon in a separate written agreement.

5. Data Protection & AI Safety

Security Baseline: We utilize AES-256 encryption at rest and TLS 1.2 or higher for data in transit. Our infrastructure is hosted on Microsoft Azure.

AI Training Policy: We enforce a "Zero-Training" policy. Your proprietary business data and client information are not used to train or improve third-party foundation AI models.

User Content: While there are no specific restrictions on the type of data you upload, you agree not to use the Service to store or transmit any illegal content or material that violates third-party intellectual property rights.

6. Limitation of Liability

To the maximum extent permitted by law, Business Mapping Technologies Inc shall not be liable for any indirect, incidental, special, or consequential damages.

Regulatory Accuracy: While Steps.io provides tools to assist in licensing and compliance, the final responsibility for legal and tax compliance remains with the User and their clients. We do not provide legal or tax advice.

Maximum Liability: Our total liability for any claim arising out of these Terms shall not exceed the total fees paid by you for the specific a la carte service giving rise to the claim.

7. Dispute Resolution & Governing Law

Governing Law: These Terms and any disputes arising out of them shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.

Venue: Any legal action or proceeding related to these Terms shall be brought exclusively in the courts located in Florida.

8. Termination

By User: You may stop using the Service at any time.

By Us: We reserve the right to suspend or terminate your access for violations of these Terms or non-payment of ACH fees.
